Terms & Payment

1. Service provider

2. Services

Rhythm Supply provides inventory planning and supply-chain consulting for Amazon brands, including inventory audits, ongoing inventory management, fractional supply-chain management, planning system setup, and freight and warehouse cost review.

Rhythm Supply is a consulting and operations service. It is not a freight carrier, warehouse operator, customs broker, or software subscription, and it is not affiliated with Amazon. The scope of each engagement is agreed in writing (by email or proposal) before work begins.

3. Prices

"From" prices depend on SKU count, number of locations, and the level of hands-on support. The final price is stated in the written proposal or invoice before any payment is due.

4. Invoicing and payment

• All invoices are issued in US dollars (USD).
• Payment is made through Payoneer, using the payment methods available on the invoice.
• Inventory Risk Audit: 100% of the fee is paid before work starts.
• Monthly services (Monthly Inventory Management, Fractional Supply Chain Manager): invoiced in advance at the start of each monthly period.
• Project services: payment terms are stated in the proposal for that project.
• Invoices are due on receipt unless the invoice states a different due date. Work begins, or continues into a new period, once payment is received.
• Fees charged by the client's own bank or card provider are the client's responsibility.

5. Cancellations and refunds

• Inventory Risk Audit: if you cancel before work begins, the fee is refunded in full. Once work has started, the fee is not refundable.
• Monthly services: you can cancel at any time by email. Cancellation takes effect at the end of the current paid month, and no further invoices are issued. Fees for a month that has already started are not refundable.
• Refunds are returned through the same payment channel, Payoneer, where possible.

6. Client information and confidentiality

The client provides the sales, inventory, purchase-order, shipment, and cost data needed for the agreed scope and is responsible for its accuracy. Client data is used only to deliver the engagement and is not shared with third parties, except service providers needed to deliver the work (such as email and file storage). Please do not share passwords or Seller Central login details.

7. Recommendations and limitation of liability

Recommendations are based on the data provided and on forecast and lead-time assumptions that can change. Ordering, shipping, and inventory decisions remain the client's own. Rhythm Supply does not guarantee specific sales, cost, or inventory outcomes. To the extent permitted by law, total liability for any engagement is limited to the fees paid for that engagement in the three months before the claim.

8. Governing law

These terms are governed by the laws of Ukraine. Both parties will try to resolve any dispute by negotiation first.

9. Changes and contact

These terms may be updated; the date at the top shows the latest version. Terms agreed in a signed proposal take precedence for that engagement. Questions about these terms or an invoice: [email protected].
